1. Who you are contracting with

Token Wise is operated by Mazhar Mahmood ("we", "us", "our"), trading as Token Wise. By installing, accessing or using the Token Wise browser extension or website (together, the "Service"), you agree to these Terms & Conditions. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you are an individual, you confirm you are of legal age to enter into a contract in your jurisdiction.

2. The Service

Token Wise is a browser extension that estimates the token cost of prompts on supported AI platforms (ChatGPT, Claude, Perplexity, Gemini, Grok) and offers a one-click rewrite to reduce that cost. Free and paid tiers are described on the pricing page.

You are responsible for the prompts you submit and the outputs you receive. You must have all necessary rights to any content you submit, and you are responsible for verifying the accuracy and suitability of any output before relying on it. Outputs may be inaccurate, incomplete, or biased and must not be used as a substitute for professional advice (legal, medical, financial, or otherwise).

We may remove, refuse, filter, or restrict any content or output, and suspend accounts that repeatedly produce prohibited content. Rights-holders may contact us at the email below to report alleged infringement; repeat infringers will have their access terminated.

5. Intellectual property

We retain all right, title and interest in and to the Service, including the extension code, website, branding, models, prompts, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own internal use within the plan you have purchased. No other rights are granted.

6. Accounts and credentials

You are responsible for keeping your licence key and any account credentials confidential and for all activity that occurs under them. You must provide accurate information and keep it up to date.

7. Payment, billing and subscriptions

Paid plans are sold and billed by our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's Buyer Terms govern payment, billing, taxes, renewals, cancellations and refund mechanics.

Subscriptions renew automatically for the period you selected until cancelled. You can cancel at any time via the Paddle buyer portal (paddle.net) or by contacting support; cancellation takes effect at the end of the current billing period. Optional overage billing is off by default and only charges you if you explicitly enable it in the extension.

8. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, for: (a) material breach of these Terms; (b) non-payment; (c) actual or suspected fraud, abuse, or security risk; or (d) repeated or serious violations of our acceptable use rules. Where reasonable, we will give notice and an opportunity to cure. On termination, your licence to the Service ends and any locally stored data may be deleted.

9. Service level and warranty disclaimer

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or that cost estimates and rewrites will be accurate in every case. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability under or in connection with these Terms shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD 100. We are not liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

You will indemnify and hold us harmless from any third-party claim arising out of your prompts, your use of outputs, your breach of these Terms, or your unlawful use of the Service.

12. Changes

We may update these Terms from time to time. Material changes will be notified via the website or the extension. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer protection rights you have in your country of residence.
